(Ongoing periodic contests beginning November 15, 2006 and ending on a date to be determined by GnuGames, Inc. ("GnuGames" or "Sponsor"))

Who may enter
The Spinergy Contest® is open to all persons, except those persons who have previously won a GnuGames' contest.

The prize
The prize will be the Sponsor's product listed on the Contest web page at  www.gnugames.com at the beginning of each contest.

How to enter
You may register for a Spinergy Contest by emailing your Contest entry response with your name and your valid e-mail address to contests@gnugames.com. 

Alternatively, you may enter a Spinergy Contest by mailing a plain piece of 4"x 6" paper on which you have printed your name, valid e-mail address, complete mailing address, telephone number, the words "Spinergy Contest entry", and your Contest entry response in a separate envelope addressed to GnuGames Spinergy Contest, P.O. Box 419, Los Alamos, NM 87544-5128. 

Your Contest entry response must meet the following requirements:
1. You must use each of the 3 words at least once in your response.
2. You must use the 3 words in the exact form as they appear, but you can use them in any order.
3. Your response must meet the requirements of the Scenario.

Your entry must be received by Sponsor no later than the 25th day of the Current Contest Month to be eligible to win the prize. Maximum three entries per Contest, regardless of the method of entry. If you do not win a prize, you may enter future Contests. 

Terms and conditions 
1. By submitting an entry, you fully and unconditionally agree to and accept these Official Rules. Each Spinergy Contest ("Contest") is sponsored by GnuGames, Inc., P.O. Box 419, Los Alamos, NM, 87544 ("Sponsor"). "You" and/or "Participant" means the person who submits an entry. 

2. Contest is void where prohibited. All federal, state and local laws and regulations apply. Subject to any governmental approval that may be required, Sponsor reserves the right to, without prior notice and at any time, terminate the Contest, in whole or in part, or modify Contest in any way, should any factor interfere with its proper conduct as contemplated by these Official Rules. Contests will be held periodically, typically on a monthly basis, subject to change without notice, beginning on November 15, 2006 and ending on a date to be determined by Sponsor. Sponsor reserves the right in its sole discretion, to cancel the Contest in its entirety, or only the online portion, for any reason. 

3. Eligibility. Contest is open to all persons, except those persons who have previously won one of Sponsor's Contest, are under the age of majority in their state of residence, and/or are employees, officers or directors of Sponsor, their parent companies, affiliates and subsidiaries, and the persons' children, parents, spouses, and members of their household. In order to be eligible to win, there must be a valid name and e-mail address on file for Participant on the date of the selection of the Contest winner. If you change your e-mail address after you submit a Contest entry, email your new e-mail address to contests@gnugames.com. No purchase or online entry necessary. Contest is open only to legal residents of the United States and Canada. 

4. Effective date of entries. Entries made online will be effective on the day received by Sponsor. Entries submitted by mail will be effective on the date received by Sponsor. All entries become the exclusive property of GnuGames, Inc. and will not be acknowledged or returned. You are responsible for your costs of entering, including online access charges, long distance telephone charges, and postage. Sponsor is not responsible for and will not be liable for late, lost, or misdirected emailed or mailed entries.

5. Selection of winners. Winners will be determined by jury selection from all eligible entries received and processed at least one day prior to the day of winner selection. Selection of winner(s) will be held periodically, typically on the 25th through the last day of each month, date subject to change without notice, beginning November 15, 2006 and ending on a date to be determined by Sponsor. Winners will not be eligible to win any other GnuGames prizes awarded under Contest. Winners must agree to the use of their names, voices, and likenesses for the purpose of advertising, trade or promotion without further compensation, unless prohibited by law. 

6. Notification of winners. Sweepstakes winners will be notified by e-mail within one week after each winner selection. All decisions are final and binding. Should an e-mail notice be returned to the Sponsor as invalid, one more attempt will be made via e-mail; and if the notice is returned a second time, Sponsor will mail the notice to the address in Sponsor's records, if any. Winners must contact Sponsor in accordance with instructions on the notice and execute an Affidavit of Eligibility and Liability Release and, where legal, a Publicity Release within 10 days after the date the notice is sent in order to claim their prize. Failure to complete these steps within that 10-day period will result in disqualification of the selected winner and a new winner will be selected from eligible entries in a commercially reasonable period. No exceptions will be made to this rule. Sponsor is not responsible for and will not be liable for late, lost, misdirected or unsuccessful efforts to notify winners. A list of prize winners is available upon request.

7. Odds of winning. The odds of winning any Contest will be determined by the number of eligible entries received. 

8. In the event of a dispute regarding who submitted an entry, the entry will be deemed submitted by the name entered in the online registration form, or the person named in the offline registration form, or the name provided in the email or mailed entry. 

IMPORTANT: Any person attempting to forge entry or to defraud Sponsor in any way in connection with this Contest will be prosecuted to the fullest extent of the law. Any attempt by a Participant or any other individual to deliberately damage any Web site or undermine the legitimate operation of the Contest may be a violation of criminal and civil laws and should such an attempt be made, Sponsor reserves the right to prosecute any such individual to the fullest extent of the law. 

9. Prizes. One prize will be awarded as a result of each of the monthly drawings. The prize will be the Sponsor's product listed on the Contest web page at www.gnugames.com at the beginning of each Contest. Winner is responsible for any and all taxes. Prizes are not transferable. 

10. Other conditions. Sponsor, its agents and representatives, its parent companies, affiliates, subsidiaries, advertising, promotion and fulfillment agencies and legal advisors are not responsible for and will not be liable for; (I) late, lost, damaged, misdirected, incomplete, unintelligible or postage due entries; (II) telephone, electronic, hardware or software program, network, Internet or computer malfunctions, failures or difficulties of any kind; (III) failed, incomplete, garbled or delayed computer transmissions; (IV) any condition caused by events beyond the control of Sponsor that may cause Contest to be disrupted or corrupted; (V) any injuries losses or damages of any kind arising in connection with or as a result of the Contest, acceptance, possession or use of the name "Spinergy Contest", or from participation in the Contest; or (VI) any printing or typographical error in any material associated with the Contest. 

11. Indemnification. You agree to release and hold Sponsor, its employees, officers, directors, shareholders, agents, representatives, parent companies, affiliates, subsidiaries, advertising, promotion and fulfillment agencies, and legal advisors, harmless from any and all losses, damages, rights, claims and actions of any kind in connection with the Contest or resulting from acceptance, possession or use of the name "Spinergy Contest", including without limitation, personal injury, death and property damage, and claims based on publicity rights, defamation or invasion of privacy. 

12. Resolution of disputes. Except where prohibited by law, as a condition of participating in this Contest you agree that (1) any and all disputes and causes of action arising out of or connected with the Contest or any prizes awarded, shall be resolved individually, without resort to any form of class action, and exclusively by final and binding arbitration under the rules of the American Arbitration Association and held at the AAA regional office nearest Los Alamos, New Mexico; (2) the Federal Arbitration Act will govern the interpretation, enforcement and all proceedings at such arbitration; and (3) judgment upon such arbitration award may be entered in any court having jurisdiction. Under no circumstances will you be permitted to obtain awards for, and you hereby waive all rights to claim, punitive, incidental or consequential damages, or any other damages, including attorneys' fees, other than your actual out-of-pocket expenses (i.e., costs associated with entering the Contest), and you further waive all rights to have damages multiplied or increased. 

13. Choice of law. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of you and Sponsor in connection with the Sweepstakes, will be governed by, and construed in accordance with, the substantive laws of the State of New Mexico without regard to New Mexico choice of law rules.
